Acceptable Use Policy

Overview

This Acceptable Use Policy (“AUP”) describes the rules governing how all users — residents, business representatives, and visitors — may use the ClickUpLocal Platform (clickuplocal.com). This AUP is incorporated into and made part of the ClickUpLocal Terms of Service.

By using the Platform, you agree to comply with this AUP. Violations may result in suspension or termination of your account, removal of your business listing, and/or referral to law enforcement where appropriate.

1. Permitted Uses

The Platform is designed for the following legitimate purposes:

Residents may use the Platform to: – Browse and discover local business listings – View ClickUpLocal Scores and business information – Create and manage a ClickUpLocal account – Claim business offers – Earn entries in the ClickUpLocal Monthly Giveaway – Contact ClickUpLocal support

Businesses may use the Platform to: – Claim and manage an authorized business listing – View and monitor their ClickUpLocal Score data – Communicate accurate business information to the community – Post offers to residents (Paid Tier) – Manage their business profile and dashboard features

2. Prohibited Conduct — All Users

The following conduct is prohibited for all Platform users:

2.1 Illegal Activity

  • Using the Platform for any purpose that violates applicable federal, state, or local law or regulation
  • Using the Platform to facilitate fraud, identity theft, or financial crimes
  • Facilitating or promoting illegal goods or services

2.2 Fraudulent or Deceptive Behavior

  • Impersonating any person, business, or organization
  • Misrepresenting your identity, affiliation, or authority
  • Fraudulently claiming a business listing you are not authorized to represent
  • Creating multiple resident accounts to accumulate additional Giveaway entries
  • Providing false information during registration, claiming, or verification

2.3 Score Manipulation and Algorithm Probing

  • Attempting to artificially inflate or deflate any ClickUpLocal Score through automated means, fake reviews, coordinated attacks, or any deceptive activity
  • Attempting to access, modify, or interfere with ClickUpLocal’s scoring algorithms or data pipelines
  • Submitting false information designed to influence your business’s score
  • Systematically testing, probing, or monitoring score changes — including through repeated modifications to publicly visible business signals — for the purpose of reverse engineering, mapping, or approximating ClickUpLocal’s proprietary scoring weights, formulas, or methodology
  • Using score data, score outputs, or scoring behavior observed on the Platform to develop, train, or inform any competing scoring system, product, or service

2.4 Technical Interference and Unathorized Data Collection

  • Using automated bots, scrapers, crawlers, or scripts to access, collect, or index Platform data without prior written authorization from ClickUpLocal
  • Accessing the Platform at unusual frequency or volume for the purpose of collecting, aggregating, or analyzing data about Platform behavior, scoring outputs, or business listings at scale
  • Attempting to probe, scan, or test the vulnerability of the Platform or its infrastructure
  • Attempting to gain unauthorized access to any part of the Platform, other user accounts, or ClickUpLocal’s systems
  • Uploading or transmitting any malware, viruses, trojan horses, or other malicious code
  • Conducting denial-of-service attacks or any activity that impairs Platform performance

2.5 Privacy Violations

  • Collecting or harvesting other users’ personal information from the Platform
  • Publishing private information about another person without their consent
  • Stalking, harassing, or using the Platform to monitor or track individuals

2.6 Intellectual Property Violations

  • Uploading, sharing, or displaying content that infringes any third-party copyright, trademark, trade secret, or other intellectual property right
  • Using ClickUpLocal’s brand, logos, or trademarks without prior written authorization
  • Reproducing, imitating, or adapting ClickUpLocal’s scoring framework, factor categories, composite methodology, or overall scoring system design — in whole or in part — for use in any competing product or service
  • Using access to the Platform, including observation of scoring behavior or outputs, to develop or assist in developing any product, service, or system that competes with or replicates ClickUpLocal’s proprietary scoring methodology

2.7 Harmful or Objectionable Content

  • Uploading content that is defamatory, obscene, pornographic, or otherwise offensive
  • Posting content that promotes violence, discrimination, or hatred based on any protected characteristic
  • Uploading content containing personally identifiable information about third parties without their consent

2.8 Spam and Unsolicited Communications

  • Using the Platform to send unsolicited commercial messages or spam to other users
  • Attempting to circumvent any Platform communication opt-out mechanisms

3. Additional Rules for Business Users

Business representatives must additionally comply with the following:

Accuracy and Honesty: – All business information in your listing (name, address, phone, hours, services, offers) must be accurate, current, and not misleading – Offers posted to residents must be available, genuine, and honored as described – You may not post offers for products or services that are illegal, require professional licensing you do not hold, or are otherwise prohibited by law

Authorized Representation: – You may only claim and manage listings for businesses you are authorized to represent – You may not claim listings for competitors or businesses with which you have no affiliation

Content Standards: – Business photos must accurately represent your business, team, or location – Stock photography should be minimized; authentic imagery is strongly preferred – You may not use your business listing to attack competitors or make false statements about other businesses

Offer Compliance: – All offers must comply with applicable consumer protection laws – Offers must clearly state any material limitations, expiration dates, or conditions – You are solely responsible for fulfilling offers you post; ClickUpLocal is not a party to transactions between businesses and residents

4. Enforcement

ClickUpLocal reserves the right, but is not obligated, to: – Monitor Platform activity for AUP violations – Investigate complaints or reports of violations – Remove or edit content that violates this AUP – Suspend or terminate accounts that violate this AUP, with or without prior notice – Refer violations to appropriate law enforcement agencies

We reserve the right to determine, in our sole discretion, what constitutes a violation of this AUP. Our decision regarding enforcement is final.

5. Reporting Violations

If you encounter content or behavior on the Platform that you believe violates this AUP, please report it to us at:

6. Changes to This Policy

We may update this AUP at any time. Updated versions will be posted on the Platform with an updated effective date. Continued use of the Platform after any changes constitutes your acceptance of the revised AUP.
