Business Account Agreement

This Business Account Agreement (“BAA”) governs your access to and use of the ClickUpLocal Business Dashboard and all associated account features. By checking the agreement box during the listing claiming process, you confirm that you have read, understood, and agree to this BAA and the ClickUpLocal Terms of Service, which are incorporated herein by reference. If you do not agree, do not proceed with claiming your listing.

1. Overview

When you claim a business listing on ClickUpLocal and successfully complete the required verification process, you will be guided through a setup process to activate a ClickUpLocal Business Account (“Business Account”) — a dedicated workspace within the ClickUpLocal platform that gives you tools to manage your reputation, engage with the community, and grow your local presence. This BAA is accepted at the time of claiming; Business Account access is contingent on successful verification. If verification is not completed or is rejected by ClickUpLocal, this BAA remains binding with respect to the claiming attempt but no Business Account access will be granted.

This BAA governs a single claimed listing. ClickUpLocal uses one account type for all users. Claiming a business listing does not create a separate account — it grants your existing ClickUpLocal account additional capabilities for that specific listing. If you claim multiple listings, you accept this BAA separately for each listing at the time of each claim. Each listing’s Business Account operates independently with its own tier, fees, dashboard, and data. References in this BAA to “your Business Account” mean the Business Account associated with the specific listing for which you accepted this BAA.

This BAA supplements the ClickUpLocal Terms of Service and governs the specific terms of your Business Account access, features, fees, data, and support for that listing. In the event of a conflict between this BAA and the Terms of Service, this BAA controls with respect to Business Account matters.

2. Account Tiers and Features

Your Business Account features are determined by your subscription tier.

2.1 Free Tier

Upon successful verification, you will be prompted to select a tier or accept a free trial offer (if available). If you select the Free Tier, or if your free trial expires without upgrading, your Business Account will include access to the Free Tier features available at that time, as provided in your Business Dashboard and on the ClickUpLocal pricing page. Free Tier features are focused on reputation management and basic listing presence. Paid Tier features — including but not limited to CRM, marketing tools, workflow automation, and the ability to post offers to ClickUpLocal residents — are not included. ClickUpLocal reserves the right to add, modify, or remove Free Tier features at any time with notice provided through the Business Dashboard or via email.

2.2 Paid Tier

Paid Tier subscribers receive access to the full ClickUpLocal Business Dashboard feature set available at that time, as described in your Business Dashboard and on the ClickUpLocal pricing page. Paid Tier features are broader in scope than Free Tier and include tools for marketing, engagement, and business management. Add-On Services (see Section 5) are not included in the Paid Tier subscription unless separately purchased. ClickUpLocal reserves the right to add, modify, or remove Paid Tier features at any time with notice provided through the Business Dashboard or via email.

2.3 Free Trial

ClickUpLocal may offer a free trial of the Paid Tier at the time of Business Account setup. If you accept a free trial: (a) you will have access to all Paid Tier features, including the ability to post resident offers, for the duration of the trial period; (b) at the end of the trial period, your subscription will automatically convert to a paid Paid Tier subscription at the then-current rate unless you cancel before the trial ends; (c) you will be notified by email at least 3 days before conversion with instructions for cancellation; and (d) if you cancel during the trial, your account will revert to the Free Tier at the end of the trial period with no charge. Trial terms, including duration and the post-trial price, are disclosed at the time the free trial is offered in compliance with California’s Automatic Renewal Law (Cal. Bus. & Prof. Code §§17600–17606). ClickUpLocal reserves the right to modify or discontinue free trial offers at any time.

Tier Downgrade. If you downgrade from the Paid Tier to the Free Tier, all Paid Tier features — including any active resident offers — will be deactivated at the end of the current billing period or at the offer expiration date at ClickUpLocal’s sole discretion. ClickUpLocal is not obligated to notify residents of offer deactivation resulting from a downgrade, and assumes no liability for any business impact or lost engagement resulting from such deactivation.

3. Permitted Use of Business Account

Your Business Account may be used in connection with your legitimate business operations, including purposes beyond your ClickUpLocal directory listing. Paid Tier subscribers may use Business Dashboard tools — including CRM, email, SMS, and automation features — to manage their own customer relationships and conduct other lawful business activities, subject to the restrictions in Section 8 and the communications compliance obligations in Section 7.

4. Account Suspension

ClickUpLocal may suspend your Business Account or individual account features — separate from termination — under the following circumstances:

Non-Payment / Payment Failure. If a scheduled subscription payment fails or your payment method on file is declined, your account will enter a suspension period. During suspension, access to Paid Tier features will be restricted. Your account will be automatically reactivated upon successful payment. ClickUpLocal will notify you via email to the address on file when a payment fails and when your account is reinstated. Wallet-funded Usage Services may continue to function if your Wallet balance is sufficient, but no new subscription charges will process until the payment method is updated.

AUP Violations. ClickUpLocal may suspend your Business Account immediately and without prior notice if we determine that you have violated the ClickUpLocal Acceptable Use Policy or Section 8 of this BAA, including but not limited to unauthorized communications, spam, or unlawful conduct. We will notify you of the suspension reason and provide an opportunity to cure, where practicable. ClickUpLocal reserves the right to terminate the account if the violation is not cured within the timeframe specified in the suspension notice.

Legal or Compliance Risk. ClickUpLocal may suspend your account without prior notice if required by applicable law, a court order, a regulatory authority, or if continued operation of your account creates a material legal or compliance risk to ClickUpLocal. We will restore your account promptly upon resolution of the underlying issue where feasible.

Suspension does not relieve you of any payment obligations accrued prior to or during the suspension period. ClickUpLocal is not liable for any business impact or losses resulting from a suspension carried out in accordance with this section.

5. Add-On Services

Paid Tier subscribers may be offered optional Add-On Services from time to time to extend their Business Account capabilities. 

Add-Ons are presented contextually within the Business Dashboard based on relevance to your account activity and usage. Not all Add-Ons are available to all accounts at all times.

Add-On pricing and terms are disclosed at the time each Add-On is offered. By activating an Add-On, you agree to the pricing and terms presented at that time. Add-Ons are billed on a recurring basis unless otherwise specified at activation. They may be cancelled at any time; cancellation takes effect at the end of the current billing period.

ClickUpLocal reserves the right to introduce, modify, bundle, or discontinue any Add-On offering at any time. Where an active Add-On is being discontinued, ClickUpLocal will provide at least 30 days’ advance notice. ClickUpLocal may also introduce additional service tiers, paid features, or other offerings over time; such additions will be governed by the terms disclosed at the time of offer or by updated versions of this BAA as applicable.

6. Usage-Based Fees and Wallet

6.1 What Are Usage-Based Fees?

All Business Accounts — both Free Tier and Paid Tier — include a Wallet. A payment method must be on file to use Wallet-consuming features. Free Tier accounts that do not add a payment method will not be able to access Wallet-funded services until a payment method is added. Certain features within the Business Dashboard consume Wallet credits on a per-use basis (“Usage Services”). Usage Services are billed separately from your subscription based on actual consumption.
Usage Services include, but are not limited to: phone system usage (outbound and inbound calls, SMS and MMS messaging); outbound email; AI-powered features (content generation, conversation AI, voice AI, reviews AI, agent execution); workflow premium actions and third-party AI model calls; messaging integrations such as WhatsApp; domain purchases; and other platform features that draw on third-party services. The current list of Usage Service categories and their applicable rates is maintained in your Business Dashboard under Account → Usage & Billing and may be updated from time to time.

6.2 Wallet

Usage Services are funded through a pre-loaded Wallet associated with your Business Account. Your Wallet balance is drawn down as Usage Services are consumed. You are responsible for maintaining a sufficient Wallet balance at all times. If your Wallet balance reaches zero, Usage Services will be suspended until the Wallet is replenished. Your subscription features (dashboard access, listing management, offers) are not affected by a zero Wallet balance.

6.3 Billing Rate

Usage Services are billed at a markup above the underlying platform base rate for each service type, currently set at 1.5x. This markup covers platform administration, routing, and infrastructure. ClickUpLocal reserves the right to adjust the markup rate upon at least 30 days’ advance notice to active Business Account holders. Per-unit rates also vary by service type and region and are subject to change as underlying provider rates change. Current rates for all Usage Services are displayed upon use in your Business Dashboard under Billing → Wallet & Transactions.

6.4 Wallet Funding and Auto-Replenishment

You may fund your Wallet manually at any time through the Business Dashboard under Billing → Wallet & Transactions. You may also enable auto-replenishment, which automatically charges your payment method on file when your Wallet balance falls below a threshold you configure. ClickUpLocal is not liable for suspended Usage Services or any resulting business impact from insufficient Wallet funds.

6.5 Unused Wallet Balances

Wallet balances are non-refundable except as required by applicable law. Unused Wallet funds at the time of account cancellation or termination will be forfeited.

7. Your Data and Contact Records

7.1 Data Ownership

You own the data you create, import, or generate within your Business Account, including contact records, conversation history, campaign content, and other business materials (“Your Data”). ClickUpLocal has a limited, non-exclusive license to store, process, and use Your Data solely as necessary to provide the Business Account services described in this BAA.

7.2 Offer Contacts

When a ClickUpLocal resident claims an offer you have posted, their name, email address, and phone number (if on file) are shared with your Business Account (“Offer Contact”), consistent with that resident’s consent under the ClickUpLocal Terms of Service and Privacy Policy. Offer Contact information will be accessible in your Business Account CRM and delivered via notification. You may use Offer Contact information to fulfill or follow up on the specific offer claimed.

Marketing to Offer Contacts. At the time of offer claim, residents may be presented with an optional, unchecked checkbox to consent to receive marketing communications from your business. This checkbox is separate from the offer claim itself and is not required to complete the claim. If a resident checks this box, you may use that Offer Contact’s information for marketing communications consistent with the scope of the consent given. If a resident does not check this box, you may only use their contact information for fulfillment and follow-up directly related to the claimed offer.

Regardless of marketing consent status, you may not: add Offer Contacts to any marketing list or automated messaging sequence without their express consent; use Offer Contact information for cold outreach or solicitation beyond the scope of any consent given; or sell, share, or transfer Offer Contact information to any third party for their independent use. You are solely responsible for ensuring that all communications to Offer Contacts comply with applicable law, including the TCPA, CAN-SPAM Act, and any applicable state laws. ClickUpLocal does not warrant the sufficiency of any consent collected through the Platform for any particular communication type or channel; you bear full responsibility for assessing and maintaining your own compliance.

7.3 Data Processing Infrastructure

Your Data is stored and processed by ClickUpLocal’s platform infrastructure providers (“Subprocessors”), who are contractually bound to process data solely on ClickUpLocal’s behalf and in accordance with applicable data protection laws. ClickUpLocal maintains data processing agreements with all Subprocessors that include appropriate technical and organizational security measures.

8. Communications Compliance

When using Business Account tools to send SMS messages, emails, or make outbound calls — whether for ClickUpLocal-related purposes or your own business operations — you are solely responsible for compliance with all applicable federal, state, and local communications laws, including without limitation:

  • The Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, including requirements for prior express written consent for marketing communications sent via automatic telephone dialing systems or pre-recorded voice
  • The CAN-SPAM Act of 2003, 15 U.S.C. §§ 7701–7713, including identification, opt-out, and physical address requirements
  • The FTC Telemarketing Sales Rule (TSR), 16 C.F.R. Part 310
  • CTIA Messaging Principles and Best Practices
  • All applicable 10DLC A2P SMS registration requirements for application-to-person messaging
  • All applicable California state laws governing electronic communications

You represent and warrant that you have obtained all legally required consents from contacts before sending any marketing, promotional, or automated communications through your Business Account. This includes review request campaigns sent through the Reputation module — you are solely responsible for ensuring that recipients of review request SMS or email messages have provided the consent required by applicable law, including the TCPA. This obligation applies equally to any workflow templates, automations, or messaging sequences provided by ClickUpLocal and installed in your Business Account — the fact that ClickUpLocal built or configured a communication workflow does not transfer compliance responsibility to ClickUpLocal; you remain solely responsible for ensuring that any contacts who receive communications through such workflows have provided all legally required consents. ClickUpLocal is not liable for any regulatory violations, fines, or third-party claims arising from your use of Business Account communications tools, including review request campaigns or ClickUpLocal-provided workflow templates.

9. Acceptable Use

In addition to the restrictions in the ClickUpLocal Terms of Service and Acceptable Use Policy, you agree not to:

  • Send unsolicited commercial messages (spam) to any contact through your Business Account
  • Use the Business Account to conduct, facilitate, or promote any unlawful activity
  • Resell, sublicense, share, or transfer Business Account access to any third party
  • Use the Business Account to impersonate ClickUpLocal or make representations on ClickUpLocal’s behalf
  • Attempt to reverse-engineer, access, or interfere with the Business Account platform or the accounts of other ClickUpLocal users
  • Connect third-party applications, native platform integrations, or App Store applications to your Business Account in any manner that violates those applications’ terms of service, applicable law, or this BAA

Third-Party Integrations. You are solely responsible for any third-party applications, native platform integrations, and App Store applications you connect to your Business Account. This includes compliance with those applications’ own terms of service, data handling practices, and applicable law. ClickUpLocal is not liable for any data loss, breach, unauthorized access, service interruption, or other harm arising from third-party integrations you enable. By connecting a third-party integration, you represent that you have the rights and authorization to do so and that the integration will not cause ClickUpLocal to violate any applicable law or third-party agreement.

10. Cancellation and Data Export

10.1 Paid Tier Cancellation Notice

Paid Tier subscriptions require 30 days’ advance written notice to cancel, consistent with Section 6.4 of the ClickUpLocal Terms of Service. During the 30-day notice period, your account remains active, subscription fees continue, and Usage Fees continue to accrue.

10.2 Data Export Window

Following the effective date of your Business Account cancellation, you have 30 days to export Your Data from the Business Dashboard. Data export tools are available under Account → Data Export. After the 30-day export window closes, Your Data will be permanently deleted from ClickUpLocal’s systems and cannot be recovered. ClickUpLocal strongly encourages you to export all data before your cancellation effective date.

10.3 Free Tier Account Closure

Free Tier Business Accounts may be closed at any time by contacting support@clickuplocal.com with the subject line “Business Account Closure Request.” The same 30-day data export window applies.

11. Subaccount Portability and Transfer

If you cancel your Business Account and wish to transfer your Business Account and associated data to another ClickUpLocal-compatible agency account, you may submit a Subaccount Release Request to support@clickuplocal.com. Transfers are only supported to agency accounts operating on the same underlying platform infrastructure as ClickUpLocal. Transfers to platforms outside this infrastructure are not supported; in that case, you must use the data export process described in Section 10.2.

A one-time Subaccount Release Fee applies to all transfer requests. The current fee amount is published in the Business Dashboard and is subject to change with at least 30 days’ advance notice. This fee is non-refundable and must be paid in full before the transfer process begins. ClickUpLocal will initiate the transfer within 10 business days of confirmed payment receipt. If the transfer fails or cannot be completed due to incompatibility of the receiving account, your failure to provide required information, or any reason outside ClickUpLocal’s reasonable control, the Subaccount Release Fee will not be refunded. In such cases, you retain access to the 30-day data export window described in Section 10.2.

ClickUpLocal makes no representations about the compatibility of your Business Account data or configuration with the receiving agency account, and is not responsible for any data loss, reconfiguration costs, or service interruptions associated with the transfer. A Subaccount Release does not waive any outstanding fees or obligations owed to ClickUpLocal.

Exclusion of Proprietary Configurations. ClickUpLocal reserves the right to remove any Proprietary Configurations (as defined in Section 14.2) — including workflows, automations, AI prompts, sequences, templates, funnels, and pipelines built or installed by ClickUpLocal — from your Business Account prior to or as part of any subaccount transfer. Proprietary Configurations will not be transferred to the receiving agency account under any circumstances. The Subaccount Release Fee applies regardless of how many Proprietary Configurations are removed.

12. Support

Business Account technical support is available through the ClickUpLocal Support Ticket System, accessible directly within your Business Dashboard. We aim to respond within 3 business days; during periods of high volume, responses may take up to 10 business days.

ClickUpLocal provides support for Business Account platform functionality. Compliance, legal, or operational issues arising from your use of Business Account tools to contact your customers or manage your own business are your sole responsibility.

13. Platform Availability

ClickUpLocal provides Business Account services on an “as available” basis and does not guarantee uninterrupted, error-free access. ClickUpLocal may modify, suspend, or discontinue Business Account features at any time. Where practicable, we will provide at least 14 days’ advance notice of material feature changes or service interruptions.

ClickUpLocal’s ability to provide Business Account services depends in part on third-party infrastructure providers. In the event that ClickUpLocal’s access to such infrastructure is suspended, modified, or terminated for any reason, Business Account services may be impacted. ClickUpLocal will use commercially reasonable efforts to minimize disruption and notify affected users as promptly as practicable. ClickUpLocal’s liability in such circumstances is limited as described in Section 15.

14. Intellectual Property

14.1 ClickUpLocal Platform IP

ClickUpLocal and its licensors retain all rights in the Business Dashboard platform, its tools, interfaces, algorithms, templates, and underlying technology. Your use of the Business Account does not grant you any ownership interest in ClickUpLocal’s platform or technology. You retain full ownership of Your Data, your original business content, and materials you create or upload to the Business Account.

14.2 ClickUpLocal Proprietary Configurations

ClickUpLocal may build, install, or configure proprietary workflows, automations, AI prompts, conversation scripts, sequences, templates, funnels, pipelines, and other system configurations within your Business Account as part of onboarding, platform setup, or ongoing service (“Proprietary Configurations”). All Proprietary Configurations are and remain the exclusive intellectual property of ClickUpLocal, regardless of where they reside.

Your Business Account access grants you a limited, non-exclusive, non-transferable license to use Proprietary Configurations solely within your active ClickUpLocal Business Account during the term of this BAA. You may not: copy, reproduce, export, download, screenshot, or otherwise extract any Proprietary Configuration from your Business Account; share, disclose, license, or transfer any Proprietary Configuration to any third party; use any Proprietary Configuration to replicate or rebuild ClickUpLocal’s systems outside of your Business Account; or reverse-engineer, decompile, or derive the logic or structure of any Proprietary Configuration.

Upon cancellation or termination of your Business Account for any reason, your license to use Proprietary Configurations immediately terminates. Proprietary Configurations are not subject to the data export rights described in Section 10.2, and ClickUpLocal is not obligated to provide copies of Proprietary Configurations in any format. Violations of this section may cause irreparable harm to ClickUpLocal for which monetary damages would be inadequate, and ClickUpLocal reserves the right to seek injunctive or other equitable relief in addition to all other available remedies.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLICKUPLOCAL’S TOTAL LIABILITY UNDER THIS BAA IS SUBJECT TO THE SAME LIMITATIONS SET FORTH IN SECTION 11 OF THE CLICKUPLOCAL TERMS OF SERVICE. WITHOUT LIMITING THE FOREGOING, CLICKUPLOCAL SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) YOUR FAILURE TO COMPLY WITH COMMUNICATIONS LAWS; (B) DATA LOSS OR CORRUPTION RESULTING FROM YOUR FAILURE TO EXPORT DATA WITHIN THE 30-DAY EXPORT WINDOW; (C) INTERRUPTIONS IN USAGE SERVICES DUE TO INSUFFICIENT WALLET FUNDS; OR (D) THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF BUSINESS ACCOUNT TOOLS.

16. Indemnification

You agree to defend, indemnify, and hold harmless ClickUpLocal and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of Business Account communications tools in violation of applicable law, including the TCPA, CAN-SPAM Act, or TSR; (b) your breach of this BAA or the Terms of Service; (c) any claim by a contact or third party arising from communications you sent through the Business Account; or (d) your failure to obtain required consent before sending marketing communications.

17. Modifications to This Agreement

ClickUpLocal may update this BAA at any time. If we make material changes, we will notify you via email or a notice within your Business Dashboard at least 14 days before the changes take effect. Your continued use of the Business Account after the effective date of any changes constitutes your acceptance of the revised BAA. If you do not agree to the revised BAA, you must stop using the Business Account and follow the cancellation process in Section 9.

18. Governing Law and Disputes

This BAA is governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. All disputes arising under or related to this BAA are subject to the dispute resolution provisions in Section 13 of the ClickUpLocal Terms of Service, including the binding arbitration requirement and class action waiver, which are incorporated herein by reference.

18.1 Survival

The following sections of this BAA survive termination or expiration of your Business Account, regardless of the reason for termination: Section 7 (Your Data and Contact Records), Section 8 (Communications Compliance), Section 10.2 (Data Export Window and deletion obligations), Section 14 (Intellectual Property), Section 15 (Limitation of Liability), Section 16 (Indemnification), and Section 18 (Governing Law and Disputes). Survival of these sections does not extend your right to access the Business Dashboard or any account features following termination.

18.2 Tax Obligations

You are solely responsible for determining, collecting, reporting, and remitting all taxes, fees, and governmental charges applicable to your business operations conducted through the Business Account, including any transactions, invoices, payments, or revenues generated using Business Dashboard tools. ClickUpLocal does not collect or remit taxes on your behalf and has no liability for your tax obligations.
