IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE CLICKUPLOCAL PLATFORM. BY CREATING AN ACCOUNT, CLAIMING A BUSINESS LISTING, OR OTHERWISE USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and ClickUpLocal (“ClickUpLocal,” “we,” “us,” or “our”), a company organized under the laws of the State of California. These Terms govern your access to and use of the ClickUpLocal website located at clickuplocal.com, including all subdomains, mobile versions, and related services (collectively, the “Platform”).
By accessing or using the Platform in any manner, including as a resident user or as a business representative, you confirm that:
- You have read, understood, and agree to be bound by these Terms;
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding agreement; and
- If acting on behalf of a business, you have the authority to bind that business to these Terms.
These Terms incorporate by reference our Privacy Policy, Acceptable Use Policy, Cookie Policy, and DMCA Policy, all of which are part of this agreement.
2. Eligibility
Age Requirement. The Platform is intended solely for users who are 18 years of age or older. By using the Platform, you represent and warrant that you meet this requirement. If we learn that a user is under 18, we will terminate that user’s account immediately and delete associated data.
Geographic Availability. The Platform is currently available to users in the United States. Use of the Platform from outside the United States is at your own risk and may not comply with local laws.
Compliance with Laws. You represent that your use of the Platform will comply with all applicable federal, state, and local laws and regulations.
3. Description of Services
ClickUpLocal is a community-focused local business directory platform that connects residents with local businesses. The Platform provides the following core services:
For Residents: – Browse and discover local business listings – View business profiles, contact information, and community scores – Create an account to claim exclusive business offers – Participate in the ClickUpLocal Monthly Giveaway Program – Receive platform communications (subject to your preferences)
For Businesses: – Access a pre-populated or claimed business listing on the directory – View and manage your business’s ClickUpLocal Score metrics – Engage with the ClickUpLocal platform community (paid tier) – Post offers visible to resident users (paid tier) – Access the ClickUpLocal Business Dashboard — Free Tier includes the Reputation module; Paid Tier includes full dashboard access and advanced business management tools
ClickUpLocal Scores. The Platform displays algorithmically generated scores for listed businesses — including the Reputation Score, Local Presence Score, and ClickUpLocal Score. These scores are calculated using publicly available data and proprietary algorithms. See our Scoring Methodology page for full details. Scores are informational only and do not constitute professional assessments, endorsements, or certifications of any business.
4. Account Registration
ClickUpLocal uses a single account type for all users. You do not need to create a separate account to browse, participate as a community member, or claim a business listing — your registered ClickUpLocal account serves all Platform functions.
You may browse the Platform without creating an account. To claim offers, participate in the Monthly Giveaway, or access other account-specific features, you must register for a free ClickUpLocal account.
When registering, you agree to: – Provide accurate, complete, and current information; – Maintain the security of your password and promptly notify us of any unauthorized access to your account; – Accept responsibility for all activity that occurs under your account; – Use only one account per person (duplicate accounts are prohibited).
4.2 Claiming a Business Listing
Any registered user may claim one or more business listings on the Platform, subject to verification and the Business Listing Terms set forth in Section 6. Claiming a listing does not create a separate account — it grants your existing account additional capabilities to manage that listing’s profile and, for paid subscribers, to post offers and access the ClickUpLocal Business Dashboard for that specific listing.
A user may claim and manage multiple listings under a single account. Each listing is managed independently, and each listing claimed requires its own separate acceptance of the Business Account Agreement. Claiming a listing does not automatically enroll you in any paid tier.
4.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. ClickUpLocal is not liable for any loss or damage arising from your failure to protect your account credentials. You agree to immediately notify us at support@clickuplocal.com if you suspect unauthorized use of your account.
4.4 Account Termination by User
You may close your account at any time by contacting us at support@clickuplocal.com. Upon account closure, we will handle your data in accordance with our Privacy Policy. If you have one or more claimed business listings at the time of account closure, closing your account will simultaneously terminate your access to all associated Business Accounts and ClickUpLocal Business Dashboards. Data export rights described in the Business Account Agreement apply to each listing independently.
5. Resident Terms
5.1 Browsing
All residents — whether registered or anonymous — may browse business listings, view scores, and access publicly available content on the Platform at no charge.
5.2 Claiming Offers
Registered residents may claim exclusive offers posted by businesses on the Platform. Offers are subject to the individual terms set by each participating business. ClickUpLocal is not responsible for the availability, accuracy, fulfillment, or quality of any offer. Any dispute arising from a claimed offer is between you and the business directly.
Contact Information Sharing on Offer Claims. When you claim an offer, ClickUpLocal will share your name, email address, and phone number (if on file) with the business that posted the offer, so the business may contact you to fulfill or coordinate the offer. By claiming an offer, you will be asked to confirm your consent to this sharing via a required checkbox on the claim form. Providing your information is required to claim offers; you may decline and forgo the offer if you prefer not to share your contact information.
Optional Business Marketing Consent. At the time of claiming an offer, you may also be presented with a separate, optional checkbox to consent to receive marketing communications from that specific business. This checkbox is unchecked by default and is not required to claim the offer. If you choose to opt in, the business may contact you for marketing purposes consistent with that consent. You may opt out at any time by following the instructions in any communication you receive from the business. Businesses receiving your contact information are independent third parties and their use of your information is governed by their own privacy practices. ClickUpLocal is not responsible for how businesses use contact information you consent to share. See our Privacy Policy for full details.
5.3 Monthly Giveaway
Registered residents may earn entries into the ClickUpLocal Monthly Giveaway by completing qualifying actions on the Platform. The Monthly Giveaway is governed by the separate ClickUpLocal Monthly Giveaway Official Rules, which are incorporated here by reference. Participation in the Giveaway requires that you be 18 years of age or older and a legal resident of the United States.
By creating a ClickUpLocal account, you acknowledge that you have read and agree to the applicable Monthly Giveaway Official Rules for your city and understand that you may automatically earn entries based on your platform activity during active Promotion Periods. Giveaways are city-specific; entries are only valid for the drawing associated with your registered city. Account creation does not guarantee that an active Giveaway promotion exists for your city at any given time.
5.4 Communications
By creating a ClickUpLocal account or opting in during any Platform interaction, you consent to receive communications from ClickUpLocal via email and/or SMS text message, including through the use of automatic telephone dialing systems and/or pre-recorded messages where permitted by applicable law. Consent to receive SMS is not a condition of using the Platform. Message and data rates may apply. Message frequency varies. You may opt out of marketing SMS at any time by replying STOP to any message. You will receive one confirmation and no further marketing texts. To re-enroll, follow the original opt-in process. For help, reply HELP or contact us at support@clickuplocal.com or +1 (916) 884-5575. Mobile carriers are not liable for delayed or undelivered messages. Transactional and account-related messages may continue regardless of marketing opt-out status. See our SMS Program Terms for full details.
6. Business Listing Terms
6.1 Pre-Populated Listings
ClickUpLocal may create or populate business listings using publicly available information. If your business appears in a pre-populated listing, you do not need to take any action — the listing will remain visible to residents. Pre-populated listings may include your business name, address, phone number, website, hours, category, and your ClickUpLocal Scores (where calculated; scores may appear immediately upon listing creation or following the next scheduled scoring run). If any information in a pre-populated listing is inaccurate, you may claim your listing (as described below) to correct it, or contact us at support@clickuplocal.com to request a correction.
Listing Removal Requests. ClickUpLocal is committed to giving local businesses control over their presence on the Platform. If you wish to have your business listing removed, you may submit a removal request after verifying ownership of the business through our standard verification process. ClickUpLocal will process verified removal requests within 30 days. ClickUpLocal retains sole discretion to decline removal requests in limited circumstances, including where removal would conflict with an ongoing investigation, a legal obligation, or where ClickUpLocal determines that the public interest requires the listing to remain available. Removal of a claimed listing does not delete ClickUpLocal’s internal records of the account or any completed transactions.
Permanently Closed Businesses. If your business has permanently closed, you may log into your Business Dashboard and mark your listing as permanently closed. ClickUpLocal may also independently mark a listing as permanently closed if publicly available data (such as updates to Google Business Profile, local news, or other public sources) indicates the business is no longer operating. A permanently closed listing may remain visible on the directory with a “Permanently Closed” status. Business owners may request full removal of a permanently closed listing by following the Listing Removal Request process described above.
6.2 Claiming Your Listing
Any registered ClickUpLocal user may claim an existing listing to verify their identity and manage their business profile. Claiming a listing requires completing a verification process to confirm your authorized association with the business. Verification is conducted via one of the following methods, subject to availability: (1) a live virtual verification call with a ClickUpLocal representative; (2) an automated phone call to the business phone number, during which you provide a one-time passcode; or (3) an SMS message to the business phone number, to which you respond with a one-time passcode. Not all verification methods are available to all users. ClickUpLocal’s determination of verification eligibility and outcomes is final. Business Dashboard access is granted only upon successful completion of verification. ClickUpLocal reserves the right to reject any claim we believe is fraudulent or unauthorized.
A user may claim and manage multiple listings under a single ClickUpLocal account. Each listing is treated as an independent claimed listing. Listing-specific features, fees, and dashboard access apply on a per-listing basis.
Business Account Agreement Required. Completing the claiming process for each listing requires your affirmative acceptance of the ClickUpLocal Business Account Agreement for that listing. The BAA governs your access to and use of the ClickUpLocal Business Dashboard, its features, usage-based fees, data handling, and related terms for that specific listing. You will be asked to confirm your acceptance by checking a required box during the claiming process for each listing you claim. If you do not agree to the Business Account Agreement, you may not claim that listing.
6.3 Free Tier
Upon successful verification of your claimed listing, you will be guided through a setup process to activate your Business Account. You may select the Free Tier at no cost or upgrade to the Paid Tier. ClickUpLocal may offer a free trial of the Paid Tier during this setup process; free trial terms are disclosed at the time of the offer and are subject to the California Automatic Renewal disclosures in Section 6.4.1.
The ClickUpLocal Free Tier includes a claimed and verified business profile and access to the Free Tier features available at that time, as described in your Business Dashboard and on the ClickUpLocal pricing page. Free Tier features are focused on reputation management and basic listing presence. The ability to post offers to residents and access to advanced business management features are not included in the Free Tier. See the Business Account Agreement for full Free Tier terms. ClickUpLocal reserves the right to add, modify, or remove Free Tier features at any time with notice provided through the Business Dashboard or via email.
6.4 Paid Tier
The ClickUpLocal Paid Tier is available for a subscription fee as published on the Platform from time to time. The Paid Tier includes access to the full ClickUpLocal Business Dashboard feature set available at that time, as described in your Business Dashboard and on the ClickUpLocal pricing page, including the ability to create and publish offers visible to resident users. Add-On Services are not included unless separately purchased. ClickUpLocal reserves the right to add, modify, or remove Paid Tier features at any time with notice provided through the Business Dashboard or via email.
Billing. Paid Tier subscriptions are billed on a recurring monthly or annual basis, as selected at checkout. By enrolling in the Paid Tier, you authorize ClickUpLocal to charge your payment method automatically at the start of each billing cycle until you cancel. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
Cancellation. You may cancel your Paid Tier subscription at any time by logging into your Business Dashboard and navigating to Account → Billing → Subscriptions → Cancel Subscription, or by contacting us at support@clickuplocal.com. Cancellation will take effect at the end of the current billing period. Upon cancellation, your account will revert to the Free Tier and Paid Tier features (including active offers) will be deactivated.
Price Changes. ClickUpLocal reserves the right to modify subscription fees upon at least 30 days’ written notice to registered business users.
6.4.1 California Automatic Renewal Disclosures
NOTICE TO CALIFORNIA RESIDENTS — AUTOMATIC RENEWAL: In compliance with California’s Automatic Renewal Law (Cal. Bus. & Prof. Code §§17600–17606), the following applies to all Paid Tier subscriptions:
- The Paid Tier is a subscription that automatically renews at the end of each billing period (monthly or annual, as selected at checkout) at the then-current subscription rate, until you cancel.
- You will be charged automatically to the payment method on file at the start of each renewal period.
- The current subscription price is displayed at checkout and in your Business Dashboard under Account → Billing → Subscriptions → Cancel Subscription.
- You may cancel at any time before the next renewal date using the cancellation methods described above. Cancellation prevents future charges but does not result in a refund for the current billing period.
- If we change the subscription price, we will provide at least 30 days’ advance email notice before the new rate takes effect.
- If a free trial or promotional period is offered at the time of Business Account setup, the trial terms (including duration, features included, and the price that will apply at conversion) will be clearly disclosed before you accept. At the end of the trial period, your subscription will automatically convert to a paid Paid Tier subscription at the then-current subscription rate unless you cancel before the trial ends. You will be notified by email at least 3 days before conversion with instructions for cancellation. If you cancel during the trial period, your account will revert to the Free Tier at the end of the trial.
By enrolling in the Paid Tier, you acknowledge that you have read and understood these automatic renewal terms and expressly authorize the recurring charges described above.
6.5 Local Business Eligibility
ClickUpLocal is a platform designed exclusively for locally-owned and independently operated businesses. Businesses are eligible for claimed listings if they are owned and operated by individuals with a genuine local presence in the community served by the Platform.
The following types of businesses are not eligible to claim a listing: – Businesses that are corporately owned and operated by a regional or national chain with no local ownership stake; – Businesses operating as a direct corporate unit of a franchise system where the franchisee does not hold independent local ownership of the specific location; and – Any business that ClickUpLocal, in its sole discretion, determines does not meet the spirit of a locally-owned, community-serving business.
Independently owned franchise locations — where a local resident owns and operates a franchised business under a franchise agreement — are eligible to claim a listing and are considered locally owned for purposes of this policy.
Pre-populated listing data for ineligible businesses may appear in the directory based on publicly available information but may not be claimed. If you believe your business has been incorrectly restricted from claiming, contact support@clickuplocal.com.
ClickUpLocal reserves the right to remove or restrict any claimed listing it determines does not meet these eligibility requirements, with or without prior notice.
6.6 Business Content and Representations
By submitting or managing content in your business listing (including business descriptions, photos, offers, and other materials), you:
- Represent that you have all rights necessary to submit such content;
- Grant ClickUpLocal a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content in connection with operating the Platform;
- Warrant that your content does not violate any third-party rights, applicable laws, or our Acceptable Use Policy;
- Agree that your offers are accurate, fulfillable, and compliant with all applicable laws (including consumer protection and promotional offer laws).
ClickUpLocal reserves the right to remove or modify any business content that violates these Terms or that we determine, in our sole discretion, is inappropriate for the Platform.
6.7 Accuracy of Business Information
You are responsible for ensuring that your business listing information is accurate, current, and not misleading. ClickUpLocal does not guarantee the accuracy of any business listing and is not liable for errors in listings that you have claimed and control.
6.8 ClickUpLocal Scores and Business Listings
Your ClickUpLocal Scores are calculated algorithmically using publicly available data. You acknowledge that: – Scores are updated periodically and may not reflect real-time information; – Score calculations are proprietary and ClickUpLocal is not obligated to disclose the specific weight of any individual factor; – ClickUpLocal is not responsible for inaccuracies in third-party data sources used to generate scores; – Scores do not constitute endorsements or certifications.
If you believe your score is materially inaccurate due to an error in underlying data, you may submit a Score Review Request as described in our Scoring Methodology page.
6.9 No Agency, Partnership, or Franchise Relationship
Nothing in these Terms, and no act or omission by ClickUpLocal in connection with the Platform, shall be construed to create any agency, employment, partnership, joint venture, or franchise relationship between ClickUpLocal and any user, business, or business representative. ClickUpLocal is an independent platform operator. Businesses listed on the Platform are independent of ClickUpLocal, and ClickUpLocal does not endorse, sponsor, vouch for, or guarantee any business, product, service, or offer listed on the Platform.
6.10 Future Platform Features
ClickUpLocal may introduce additional community engagement features — such as comments, Q&A functionality, or other interaction tools — in the future. Any such features will be governed by supplemental terms posted on the Platform at the time of introduction. Users will be notified of material new features and any applicable supplemental terms.
7. Acceptable Use
- Your use of the Platform must comply with our Acceptable Use Policy. Without limiting that policy, you agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
- Impersonate any person or entity, or falsely claim an affiliation with any business;
- Fraudulently claim a business listing you are not authorized to represent;
- Manipulate or attempt to manipulate ClickUpLocal Scores through artificial, deceptive, or automated means;
- Harvest, scrape, or collect data from the Platform through automated tools without our prior written consent;
- Upload or transmit malicious code, viruses, or other harmful content;
- Interfere with or disrupt the integrity, security, or operation of the Platform;
- Use the Platform to send unsolicited commercial communications (spam);
- Create multiple accounts to circumvent restrictions or earn additional giveaway entries;
- Engage in any activity that ClickUpLocal reasonably determines is harmful to users, businesses, or the Platform.
8. Intellectual Property
8.1 ClickUpLocal Intellectual Property
The Platform, including its content, design, software, algorithms, scoring methodologies, logos, trademarks, and all related intellectual property (collectively, “ClickUpLocal IP”), is owned by or licensed to ClickUpLocal and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.
You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works based on ClickUpLocal IP without our prior written consent.
8.2 Your Content
You retain ownership of content you submit to the Platform. By submitting content, you grant ClickUpLocal the license described in Section 6.6 (for business content) or a similar non-exclusive license to use, display, and distribute your content in connection with the Platform (for resident content such as profile information).
8.3 Feedback
If you provide ClickUpLocal with suggestions, feedback, or ideas about the Platform, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.
9. Third-Party Services and Links
The Platform may contain links to third-party websites or services. ClickUpLocal does not control, endorse, or assume any responsibility for the content, privacy practices, or availability of any third-party websites. Your use of third-party services is at your own risk and subject to those parties’ terms and policies.
The Platform may integrate with or rely on third-party technology providers to deliver its services. These integrations are transparent to users and operate under the ClickUpLocal brand. ClickUpLocal remains responsible for delivering the services described in these Terms regardless of the underlying technology used.
10. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLICKUPLOCAL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CLICKUPLOCAL SCORES OR ANY CONTENT ON THE PLATFORM;
- WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
ClickUpLocal Scores are informational tools generated by algorithmic analysis of publicly available data. They represent ClickUpLocal’s algorithmic interpretation and commentary on that publicly available information and constitute protected opinion and expression, not statements of verifiable fact. They are not professional assessments, endorsements, guarantees, or certifications. Residents and businesses should not rely solely on ClickUpLocal Scores when making business or purchasing decisions.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLICKUPLOCAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM;
- DAMAGES ARISING FROM ERRORS IN CLICKUPLOCAL SCORES OR BUSINESS LISTINGS;
- CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE PLATFORM.
IN NO EVENT SHALL CLICKUPLOCAL’S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO CLICKUPLOCAL IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless ClickUpLocal and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of or access to the Platform;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your business listing content, offers, or representations;
- Any claim that your content infringes a third party’s rights;
- Your fraudulent, negligent, or willful conduct.
13. Dispute Resolution
13.1 Informal Resolution
Before filing any formal legal claim, you agree to first send a written dispute notice to legal@clickuplocal.com with the subject line “Dispute Notice.” Your notice must include: (1) your full legal name and contact information; (2) a description of the nature and basis of the dispute; and (3) the specific relief you are seeking. We will try to respond within 30 days of receiving a complete notice. If we cannot resolve the dispute informally within 60 days of the initial notice, either party may proceed under this Section 13.
13.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Placer County, California, unless you and ClickUpLocal agree to a different location or to conduct the arbitration by phone or video. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Arbitration proceedings and all related filings, testimony, and awards are confidential and shall not be disclosed to any third party, except as necessary to enforce an arbitration award or as required by law.
13.3 Exceptions to Arbitration
Notwithstanding the above, either party may bring an individual action in small claims court. ClickUpLocal may also seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
13.4 Class Action Waiver
YOU AND CLICKUPLOCAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If a court or arbitrator determines that this class action waiver is unenforceable, the arbitration agreement in this Section 13 shall be void.
13.5 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. To the extent that any claim is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Placer County, California.
14. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify registered users via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may close your account.
15. Termination
15.1 Termination by ClickUpLocal
ClickUpLocal reserves the right to suspend or terminate your account or access to the Platform at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your license to use the Platform ceases immediately.
15.2 Effect of Termination
Upon termination of your account: (a) your access to Platform features will be revoked; (b) any pending Giveaway entries will be forfeited; (c) any active business offers will be removed (for business accounts); (d) Sections 8, 10, 11, 12, 13, 15, and 16 of these Terms shall survive.
16. General Provisions
Electronic Records and Signatures. By using the Platform and agreeing to these Terms, you consent to receive all communications, agreements, notices, and disclosures from ClickUpLocal electronically (by email or by posting to the Platform). You agree that electronic agreements, notices, and signatures satisfy any legal requirement that such communications be in writing. You may withdraw your consent to electronic communications by closing your account, but doing so will terminate your access to the Platform.
CAN-SPAM Compliance. ClickUpLocal’s commercial email communications comply with the CAN-SPAM Act of 2003. All marketing emails will clearly identify the sender, include a valid physical mailing address, and provide a clear and conspicuous mechanism to opt out of future marketing emails. Opt-out requests will be processed within 10 business days.
Entire Agreement. These Terms, together with the policies incorporated herein, constitute the entire agreement between you and ClickUpLocal regarding your use of the Platform and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
Force Majeure. ClickUpLocal will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
